1. Acceptance of Terms

By creating an account, selecting a subscription plan, logging in, or using the Storezyy POS software, platform, and APIs (the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Storezyy provides a cloud-powered and offline-resilient Point of Sale (POS) retail billing system, inventory stock tracking, SKU catalog management, dynamic UPI QR invoice generation, thermal print formatting, and business sales reporting software designed for retail businesses and store operators.

3. Account Registration & Security

• Accurate Information: You must provide accurate, current, and complete registration details, including your store name, owner name, valid email address, and mobile number.
• Email Verification & OTPs: Account creation requires email verification via a 6-digit one-time password (OTP). You are responsible for ensuring access to your email address.
• Credential Confidentiality: You are responsible for maintaining the confidentiality of your account credentials, password, and session tokens. You must notify Storezyy immediately of any suspected unauthorized access.

4. Merchant Responsibilities

As the merchant and operator of your Storezyy instance:

• Independent Data Controller: You are the sole controller of all product names, prices, discounts, GSTIN tax rates, customer names, phone numbers, and invoice contents entered into your store database.
• Tax & Regulatory Compliance: You are solely responsible for ensuring your invoices, sales calculations, tax filings (including GST/VAT compliance), and consumer interactions comply with all applicable local, state, and national laws.
• Customer Consent: You must obtain appropriate consent from your end-customers before collecting their phone numbers or sending them digital receipts or WhatsApp reminders.

5. Acceptable Use Policy

You agree not to use Storezyy for:

• Any unlawful, fraudulent, or deceptive commercial activities.
• Billing or transacting in illegal goods, prohibited substances, or fraudulent payment claims.
• Attempting to bypass tenant data isolation, reverse-engineer, decompile, or disrupt the platform’s security architecture.
• Transmitting malicious code, worms, or automated scraping scripts against Storezyy servers.

7. Manual Plan Activation (No Online Payment Gateway)

The subscription activation workflow operates as follows:

• Step 1 — Plan Selection: The merchant selects their preferred plan during signup or via the Plan Enquiry modal.
• Step 2 — Direct Communication: The Storezyy team contacts the merchant via WhatsApp, phone, or email to discuss store requirements, payment arrangement, and setup details.
• Step 3 — Manual Activation: Upon verification, an authorized Storezyy administrator manually activates the store’s subscription status in the platform control console.

8. Cancellation & Termination

• Merchant Cancellation: You may stop using the Service at any time and request data export or account closure by contacting support.
• Storezyy Suspension: We reserve the right to temporarily suspend or permanently terminate accounts that violate these Terms, engage in abusive practices, fail authentication verification, or misuse multi-tenant system resources.

9. Intellectual Property

The Storezyy software platform, source code, visual interfaces, interactive animations, logos, documentation, and brand assets are the proprietary intellectual property of Storezyy and its creators. You are granted a non-exclusive, revocable, non-transferable license to access and use the POS software in accordance with your active subscription plan.

10. Merchant Data Ownership

You retain 100% full ownership, rights, and title to all product catalogs, pricing information, customer lists, and invoice records stored in your Storezyy workspace. Storezyy claims no ownership over your business data.

11. Service Availability & Offline Operations

Storezyy is engineered with offline-resilient local caching to allow point-of-sale billing even during temporary internet connectivity drops. While we endeavor to maintain high server availability, we do not warrant that cloud synchronization services will be uninterrupted or error-free at all times.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STOREZYY, ITS FOUNDERS, OPERATORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, BUSINESS INTERRUPTION, OR HARDWARE FAILURE) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN ALL CIRCUMSTANCES, STOREZYY'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO STOREZYY FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms shall be subject to the jurisdiction of the competent courts in [Owner Review Required: Applicable Jurisdiction & Court District, Bhopal, Madhya Pradesh, India].

15. Changes to Terms

Storezyy reserves the right to revise or modify these Terms at any time. Updated Terms will be posted on this page with an updated "Last Updated" timestamp. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of the revisions.
